Club United AS, org. no. 917 100 179 (hereinafter “Hoopit”), owns, operates and makes available the software solution Hoopit for the exchange of information to and between members, partners, sponsors and advertisers in sports and leisure clubs, as well as various services and functions that cover the operational needs such organisations have (hereinafter “the Service”). Hoopit is passionate about making everyday life as simple as possible for those who keep clubs and organisations running, so that they can focus on creating value and good results. The Service is hosted on a robust cloud infrastructure and gives customers web-based access to the Service. The Service is a web-based solution combined with a mobile application.
Hoopit offers basic training in the use of the Service to the Customer. Support does not include adaptation/set-up of the Service or bespoke tasks according to the Customer’s needs. Assistance with such adaptation may be agreed against an additional fee.
The Service is offered to organisations (hereinafter “the Customer”) that themselves import/upload and activate access for end users among the Customer’s members, partners, sponsors, advertisers, etc. (“User”). Activation requires the consent of the individual User. Some Users are given special rights to invite others and make the Service available to them (hereinafter “Administrator”), including changing the Service’s functionality, activating and deactivating modules and integrations, and creating and changing roles and access levels.
The Administrator must be an authorised signatory of the Customer or hold a power of attorney to act on the Customer’s behalf.
These customer terms (hereinafter “Customer Terms”), as described below, apply to any use of the Service. Separate terms may apply to features and integrations made available as part of the Service (hereinafter together “the Terms”). Information about this is given where relevant. The Customer and the User are responsible for familiarising themselves with the Terms that apply to the Service at any given time. How the Terms may be changed is set out under “Changes to the Terms”.
Use of the Service requires that the Customer has accepted the offer and thereby entered into a binding agreement with Hoopit, in which the commercial terms and any access to additional modules and integrations have been agreed. In the event of changes, the Customer will be sent a new offer to accept.
For the duration of the agreement, the Customer has non-exclusive access to the Service for internal use. Hoopit establishes agreed and necessary user access to the Service for the Administrator.
The Administrator is responsible for giving other Users access to the Service through the Admin Dashboard, and for removing that access when someone asks, when a User breaches the Customer Terms, or when the Customer no longer wants a particular User to have access.
The Customer and the User undertake to use the Service in accordance with the Terms and with the Service’s purpose, as described above and on Hoopit’s website. All use of the Service must follow the rules for acceptable use below. Use in breach of these rules or of the Terms otherwise gives Hoopit the right to suspend or close the User’s account.
Hoopit may, on its own initiative, monitor and examine specific or randomly selected content in order to detect breaches of the Terms. Hoopit may also remove or censor content or other material that we believe breaches the Terms, the purpose or the intentions of Hoopit.
The Customer and Users consent to Hoopit communicating with Users by email or other electronic communication, and agree that communication between Hoopit, the Customer and the User may take place electronically, via the Service, email, chat or telephone.
The Customer consents to Hoopit using the Customer’s name and logo in marketing on websites, on social media and in print to a reasonable extent.
The agreement has an initial fixed term of 12 months, counted from the first calendar month the Customer is invoiced for the Service (“Start Month”). The agreement’s main renewal date falls on the same date each following year.
If the agreement is not terminated within the deadline, it renews automatically for 12 new months at a time from the main renewal date.
Termination must be in writing and no later than 3 months before the main renewal date. Example: if the first invoiced month is February (start 01.02.), the main renewal date is 01.02. the following year, and the termination must be received no later than 01.11.
If the termination is received after the deadline, the agreement runs until the end of the next 12-month period.
The Service and its content, features and functions are and remain Hoopit’s exclusive property, including all intellectual property rights associated with the Service, such as software and source code, patents, copyright, design rights and trademarks, and equivalent rights that cannot be registered. The Service and the content are protected by the Copyright Act, the Trademarks Act, the Marketing Control Act and other legislation.
Hoopit’s trademarks and other distinctive marks may not be used in connection with other products or services without written consent. The Customer’s licensed rights to the Service are for its own use, and the Customer may not sell, transfer or otherwise use the Service for the benefit of third parties unless otherwise agreed in writing with Hoopit.
The Customer retains all rights and ownership to the data and content the Customer generates and stores through the Service. Hoopit shall not use or distribute such data and content for any purpose other than delivering the Service on the agreed terms.
The Service is a technical platform. It may from time to time be down for upgrades to new versions, other maintenance or as a result of errors. As far as practically possible, Hoopit will give notice of such limitations in availability in advance.
Hoopit cannot guarantee that the Service is always up and available, or that it is free of errors and defects. The Service is under continuous development, and Hoopit reserves the right to make changes to it. Hoopit will, as far as possible, give information about such changes.
The agreement shall be interpreted in accordance with Norwegian law. Disputes shall be sought resolved through negotiation. If this does not succeed within a reasonable time, the dispute may be brought before Romerike and Glåmdal District Court.
If you have questions about these Customer Terms, contact us at kontakt@hoopit.io.
Neither party is liable for delay or failure to perform its obligations under the agreement where this is due to circumstances beyond the party’s reasonable control (force majeure). Such circumstances include natural disasters, war, terrorism, pandemics, strikes, lockouts, severe power outages, global failures at internet service providers and measures taken by public authorities.
The party affected by force majeure shall notify the other party without delay. If the force majeure situation lasts for more than thirty (30) days, either party may terminate the agreement with immediate effect by written notice.
Hoopit offers integration with a payment service provider, so that payments between Users and the Customer for training and membership fees, sales of goods and other income are seamless and simple. The payment solutions in the Service are provided by an independent third party.
Hoopit is free to change payment service provider, which is currently Dintero AS (www.dintero.com). Some Customers still use Stripe (www.stripe.com) until they have moved to Dintero. Hoopit is a technology provider and not a bank or a payment processor. Payments are processed by the payment service provider. Hoopit only collects information generated by accepted payments and forwards it to the payment service provider.
The Customer’s relationship with the payment service provider is separate from the agreement between the Customer, the User and Hoopit, and is governed by the payment service provider’s terms. For the integration to work, the Customer must be approved by the payment service provider, which carries out customer due diligence, and must accept the provider’s terms for sellers. At Dintero these are the Dintero Seller Terms (https://www.dintero.com/terms/seller-terms), and at Stripe the terms at https://stripe.com/en-no/legal/connect-account.
Hoopit is not liable for damage or loss related to the service the payment service provider delivers. The Customer is responsible for all transactions processed via the payment service provider. Hoopit is not liable for loss or damage resulting from incorrect or invalid transactions or other matters at the payment service provider, nor for transactions that were not processed because of a network communication error or for any other reason.
If the Customer processes a transaction, it is the Customer’s responsibility to check that the payment service provider has processed it. Complaints, claims and questions about payment processing must be directed to the payment service provider.
Use of the Service is subject to these rules. The Customer shall not allow third parties to use the Service, and the User shall not use the Service:
Hoopit and the Customer agree the scope of the agreement when the Customer signs the offer. The price for set-up and optional modules and integrations follows Hoopit’s price list in force at any given time. The modules and integrations the Customer has chosen follow from the offer.
Hoopit has the right to adjust all prices in line with the consumer price index (CPI). If the USD/NOK or EUR/NOK exchange rate changes by more than 5 % within 12 months, Hoopit may also change prices with two months’ notice to cover increased costs.
For the entire duration of the agreement, Hoopit has the full and exclusive right to deliver advertisements and paid content through Hoopit to Users affiliated with the Customer. Hoopit ensures that all advertisements are age-appropriate and not offensive, and otherwise follow any guidelines agreed with the Customer and Norwegian law.
Hoopit may update and change the Terms. For material changes that significantly affect the Customer’s rights or obligations, Hoopit gives the Customer reasonable notice, at least 30 days, by email or by a prominent notice in the Service. If the Customer does not accept the materially changed Terms, the Customer may terminate the agreement before the changes take effect. Continued use of the Service after the changes have taken effect counts as acceptance of the updated Terms.
How Hoopit processes personal data is set out in the privacy notice for the app and the privacy notice for the website. Where Hoopit processes personal data on the Customer’s behalf, the data processing agreement applies.
When an organisation account is created, Hoopit processes, among other things, name, email and affiliation with organisations. This data is stored in Hoopit’s systems and with subcontractors so that the Service can be delivered. Hoopit also processes data on how the Service is used, in order to learn from it and improve it.
You can complain about the processing of personal data to the Norwegian Data Protection Authority (Datatilsynet): email arkiv@datatilsynet.no, telephone +47 22 39 69 00, or post to Datatilsynet, Postboks 458 Sentrum, 0105 Oslo, Norway.
The Service is provided “as is” and on an as-available basis, unless otherwise expressly guaranteed in a separate service level agreement (SLA). Use of the Service is at your own risk.
Club United AS disclaims the application of section 19 (1) (c) of the Norwegian Sale of Goods Act. The Customer therefore cannot claim errors or defects, and Club United AS has no liability for damage resulting from use of the Service, subject to the exceptions below.
In all cases, Club United AS’s liability for damages in connection with the Service is limited as follows:
The limitations and exclusions of liability in this section do not apply in cases of gross negligence, wilful misconduct, fraud or personal injury, or to the extent that liability cannot lawfully be limited or excluded under mandatory Norwegian or EU law.
